By accessing the Services, you agree to be bound by these Legal Terms. If you do not agree, discontinue use immediately.
1. Our Services
Cheda is a church operations platform that helps ministry teams manage volunteers, scheduling, attendance, giving, and events. It includes RadAI, an AI-powered ministry assistant that responds by voice or text in English and Spanish.
2. Intellectual Property Rights
We own or are licensed to use all intellectual property in our Services including source code, databases, software, designs, and content. We grant you a non-exclusive, non-transferable, revocable license to access the Services for your personal or internal business use only. For IP inquiries: support@cheda.ai
3. User Representations
By using the Services you represent that: (1) you have legal capacity to comply with these Terms; (2) you are not a minor; (3) you will not use automated means to access the Services; (4) you will not use the Services for illegal purposes; and (5) your use will not violate applicable law.
4. Prohibited Activities
You agree not to: retrieve data to build unauthorized databases; trick or defraud other users; circumvent security features; upload malicious code; impersonate other users; harass our employees; reverse engineer the software; or use the Services to compete with us.
5. User Generated Contributions
You may upload content including text, photos, and files. You are solely responsible for your contributions and represent they do not violate any third-party rights or applicable law.
6. Contribution License
By submitting contributions, you grant us the right to access, store, and use such content to operate the Services. You retain full ownership of your contributions.
7. Services Management
We reserve the right to monitor for violations, take legal action against violators, restrict access to contributions, remove excessive content, and otherwise manage the Services.
8. Term and Termination
These Terms remain in effect while you use the Services. We may deny access or terminate accounts at any time in our sole discretion. If terminated, you may not create a new account without permission.
9. Modifications and Interruptions
We may change or remove Services content at any time. We are not liable for any downtime, interruptions, or discontinuance of the Services.
10. Governing Law
These Terms are governed by the laws of the State of Texas, United States. The courts of Texas shall have exclusive jurisdiction over any disputes.
11. Dispute Resolution
Informal Negotiations: Parties agree to negotiate disputes informally for at least 30 days before arbitration.
Binding Arbitration: Unresolved disputes go to binding arbitration in Austin, Texas, in English, under Texas law. One arbitrator. We pay excessive fees.
No Class Actions. Disputes are individual only.
Exceptions: IP disputes, theft, piracy, and injunctive relief claims are exempt from arbitration.
Time Limit: Claims must be brought within 1 year of accrual.
12. Corrections
We may correct errors, inaccuracies, or omissions and update information at any time without prior notice.
13. Disclaimer
The services are provided "as-is" and "as-available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
14. Limitations of Liability
We are not liable for any indirect, consequential, or punitive damages. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
15. Indemnification
You agree to hold us harmless from any claim arising out of your use of the Services, breach of these Terms, violation of third-party rights, or harmful acts toward other users.
16. User Data
We maintain data you transmit for performance purposes. You are solely responsible for your data. We are not liable for any loss or corruption of data.
17. Electronic Communications
Using the Services constitutes electronic communication. You consent to receive electronic notices and agree they satisfy any legal requirement for written communication.
18. Miscellaneous
These Terms are the entire agreement between you and us. If any provision is unenforceable, the remaining provisions remain in effect. No joint venture, partnership, or agency relationship is created.
